United Site Services Announces High Level Change
Posted August 10-2007
In a prepared release USS owner DLJ Merchant Bank announced a change at the helm of what has grown to be the largest
portable toilet rental company in the world. Terry Bellora who served as CEO has been replaced by Kevin Bruce.
Bellora had replaced one of the founders, Terry McNabb who had orchestrated the infusion of cash needed to acquire
leading established portable sanitation companies throughout the country. Bellora’s position as CEO and President
spanned a short 15 months.
USS is strongly established in the Northeast quadrant of the United States, based in Boston. In addition Florida and
California are largely USS territories as well as a notable presence throughout the Sun Belt. Other areas such as Denver
have USS bases of operations but fall short of the type of market share USS has exhibited interest in establishing.
Since the establishment of the organization the group has largely opted to acquire established companies within regions
rather than to start up. McNabb had expressed concerns that start up companies would involve effective pricing strategies
in order to grow start up business’s. San Diego, California is or may be the only location where a USS start-up exists. USS
has grown to include 1,600 employees in more than 50 branches and includes temporary fence, storage, power and other
site services for rent.
USS was purchased by DLJ Merchant Banking Partners in June 2006. Ed Johnson, a Managing Director of DLJ Merchant
Banking Partners said, “When we purchased USS in 2006, Terry had agreed to stay on as the CEO until his successor was
named, and we are grateful to Terry for his leadership and dedication to USS during this transition period from one owner to
another. Working with Terry and the rest of the Board, we are very pleased to announce Kevin Bruce as Terry’s successor,
and we are confident that Kevin can continue to build on the positive momentum that Terry and his team have created.”
Reportedly, Bellora will stay on with USS for an undisclosed period of time, in a strategic position supporting the company
in acquisitions, transition and industry relations.
“Terry has led USS through unprecedented growth during his tenure and helped develop the national footprint USS enjoys
today,” said Bruce. “I’m excited to build on this legacy through acquisitions and continued improvements in efficiency,
productivity and customer service.”
Bruce previously served as CEO of Strategic Equipment and Supply Corporation (Strategic), one of the food service
industry’s leading providers of equipment, services and supplies. Under Bruce’s direction, Strategic achieved record levels
of revenue, profit and customer satisfaction. He spearheaded the company’s growth strategy and focused on creating
value in terms of purchasing power and operational efficiency. Prior to his five years with Strategic, Bruce served as a
senior officer with several multi-billion dollar corporations including LSG Lufthansa/Sky Chefs, Pulte Corporation and
PepsiCo. Bruce received his Bachelor of Science and MBA from the University of Southern California.
DLJ Merchant Banking Partners ("DLJMB") is a leading private equity investor that has a 21-year record of investing in
leveraged buyouts and related transactions across a broad range of industries. DLJMB, with offices in New York, London
and Los Angeles, is part of Credit Suisse's Alternative Investments business, one of the largest alternative asset managers
in the world, with more than $137 billion of assets under management. Alternative Investments, which is part of the Asset
Management business, is comprised of a diverse family of funds, including private equity, leveraged buyouts, mezzanine,
real estate, secondary funds and fund of funds, as well as the businesses covering hedge funds (both direct and fund of
funds), leveraged loan and collateralized debt obligation investment programs, core real estate funds, and quantitative
investment and volatility management products.
DLJ’s acquisition of USS last year came to the industry as a surprise and was largely downplayed as not really a change of
ownership but more one of just another of many investors. Through a marked decrease in the actual quantity of available
business fueled by the slowing residential home building market, USS has continued with their plans of acquiring market
leaders particularly in areas with a marked regional presence.
Fire Claims 350 Portable Restrooms
Posted August 28,2007
Portable Restroom rental company “Pot of Gold” widely known for their bright yellow portable toilets fell victim to fire
losing between 300 and 350 units. According to Pot of Gold manager Joel Caraway of their Alabama branch the loss topped
$200,000. In addition Caraway says that the business is offering a $10,000 reward to anyone with information leading to an
arrest in connection with the fire.
The fire is under investigation and has been noted as suspicious though it is unclear if the blaze had been set intentionally.
Firefighters had responded to a grass fire directly behind the business warehouse where the units were all lined up. On
about 200 of the units the only thing left was the metal objects such as the door closure and springs. Caraway told
investigators that the units had never had chemical added apparently noting that the units were new.
The last fire to take a toll on a large quantity of portable toilets took place in San Diego where units had been staged for
pick up following a 4th of July event. That particular fire claimed 75 units.
Industry Leaders Battle for Territory
For those of you that think that the portable toilet rental industry escapes headlines take a look at the events unfolding
around the world.
Portable toilet giant National Hire is now watching their shares hit a record high after the company announced its plans to
buy a much larger portable toilet rental company, Coates Hire for $1.6 billion, in partnership with Carlyle Group. It is typical
for Australia and Great Britain to use the name hire in place of the US term rental.
The merger will net National Hire-Coates with around 14,000 portable toilets operating in the very active Australian market.
Several months ago National Hire announced that they had bought out competitor All Site Rentals. Journalist watching the
events unfolding in Australia are now speculating on what might take place now with National Hire. Rumors stretch from
the possibility of an overall rate increase to the possibility of the company expanding into the United States to try their
hand competing in a maturing market. National Hire is not commenting on the rumors.
Only 24 hours after the announcement of the merger Global Construction Services announced a merger deal purchasing
Budget Portables and adding 500 portable toilets to GCS’s fleet of 1,900 with rumors of more activity being in the works.
The Australian market is active as market place leaders are staking their territory in the country island.
A Tennessee Lake has been closed by the Tennessee Department of Environment and Conservation when it was
discovered that sewage and debris had entered into the water.
The lake is located on the property of the Tennessee Children’s Home. The lake is known in the community as being a
popular fishing attraction. Officials are connecting the contamination of the lake to a special event named the 'Spring Hill
Country Ham Festival’ that had taken place over the weekend.
Officials say that the 7-acre lake contamination occurred as a direct tie to either RV’s that were parked near the water during
the event or the portable toilets that were on-site for the estimated 12,000 to 14,000 people who had attended the annual
event.
The cause of the contamination is under investigation.
Tennessee Lake Closed Down
A fire totally destroyed 300 portable restrooms melting them and 2 large holding tanks to the ground. A Throne, located in
Long Beach California felt the brunt of an incident that could have been much worse had the waste from the storage tanks
made it’s way into the storm drains.
The fire broke out Saturday morning and while the incident is under investigation authorities speculate that the cause may
have been two downed power lines that shorted out sparking the fire.
It took 35 firefighter about 20 minutes to knock the fire down. A haz- mat team was called to the scene to clean up about 800
gallons of waste that had been released into the area. Heavy rains only made the problem worse.
The biggest concern was keeping the sludge from going into the storm drains which would have created an environmental
mess explained Mike Duree who’s company Ocean Blue was charged with the clean up.
